TERMS OF USE

Welcome to Stylebitt! These Terms of Use ("Terms") govern your access to and use of the Stylebitt app and any services offered through the app (collectively, the "Service").

By using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Use of the Service

Stylebitt is an app designed to help fashion entrepreneurs manage their businesses. The Service includes tools to help you manage your inventory, sales, and customer relationships. You may use the Service only for lawful purposes and in accordance with these Terms.

Your Account

To use the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your device, and you agree to accept responsibility for all activities that occur under your account or password. You agree to notify us immediately of any unauthorized access to or use of your account or password or any other breach of security.

Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by Stylebitt, its licensors, or other providers of such material and are protected by Nigeria and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as follows:

• (a) Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
• (b) You may store files that are automatically cached by your Web browser for display enhancement purposes.
• (c) You may print or download one copy of a reasonable number of pages of the Service for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, and not for further reproduction, publication, or distribution. If we offer any APIs, you must comply with the applicable usage limits and other terms and conditions that we may publish from time to time.

User Content

The Service may allow you to upload, store, and share information and other content ("User Content"). You are solely responsible for the User Content that you upload, store, or share using the Service.

You grant Stylebitt a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display User Content that you upload, store, or share using the Service, in whole or in part, and in any form, media, or technology, whether now known or hereafter developed, for the purpose of operating, promoting, and improving the Service.

You represent and warrant that you have all rights necessary to grant the foregoing license to Stylebitt and that the User Content you upload, store, or share using the Service does not infringe the intellectual property or other proprietary rights of any third party.

Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• (a) In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from Nigeria or other countries).
• (b) For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
• (c) To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• (d) To impersonate or attempt to impersonate Stylebitt, a Stylebitt employee, another user, or any other person or entity.
• (e) To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by Stylebitt, may harm Stylebitt or users of the Service or expose them to liability.
• (f) For any commercial purpose, except as expressly permitted by these Terms.

Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. Stylebitt makes no warranty that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. Stylebitt is not responsible for any delays, delivery failures, or other damage resulting from events beyond its reasonable control.

Limitation of Liability

To the fullest extent allowed by law, Stylebitt and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not Stylebitt has been informed of the possibility of such damage.

Indemnification

You agree to indemnify, defend, and hold harmless Stylebitt, its affiliates, officers, employees, agents, partners, and licensors from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third party.

Termination

Stylebitt may terminate or suspend your access to all or part of the Service, without notice, for any reason or no reason, including without limitation, a breach of these Terms. Upon termination, you will immediately cease all use of the Service.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Lagos State, Nigeria without giving effect to any principles of conflicts of law. You agree that any action at law or in equity arising out of or relating to these Terms shall be filed only in the state or federal courts located in Lagos State, Nigeria, and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.

Changes to these Terms

Stylebitt reserves the right to modify or replace these Terms at any time in its sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
